What are the benefits of using a corporate trustee for our deposit or escrow transactions?

Can we use a corporate trustee for our investment fund? What about acting as a “bare” trustee?

We act as corporate trustee in many different situations, including for investment funds, “bare” trusts and special purpose trusts. In these situations, having an experienced corporate trustee with fiduciary responsibility may be required for legal, regulatory or marketing reasons. Having us involved as your corporate trustee will ensure that you have continuity over the full term of the trust and give you comfort that the rights of holders and beneficiaries will be protected.

Our services include...

Trustee on publicly or privately issued debt

  • Acting as trustee under indentures, for both secured and unsecured debt
  • Serving as registrar and TA for the issue, processing interest payments and redemptions

Security Trustee or Agent

  • Holding security under a security or collateral agreement
  • Handling all administrative matters pertaining to the security

Warrant Trustee or Agent

  • Acting as agent or trustee under warrant indentures
  • Maintaining the warrant register and process any exercises or adjustments

Escrow Agent

  • Holding funds or securities in escrow, long or short term, pursuant to the terms of an escrow agreement
  • Investing funds as mandated under the escrow agreement and processing releases under the life of the escrow arrangement

Subscription Receipt Agent

  • Acting as subscription receipt and escrow agent under subscription receipt agreements
  • Holding and investing subscription proceeds in escrow and act as registrar for the subscription receipts, processing exchanges and exercises and making any interim payments
